This Service Provider Agreement ("Agreement") is entered into by and between Service Hub North America Inc., a company incorporated in British Columbia, Canada ("Service Hub," "we," "us," or "our"), and you, an independent service provider ("Provider," "you," or "your"). By registering as a provider on our platform, you agree to the following terms:
1. Nature of the Relationship
- You are not an employee, agent, or partner of Service Hub.
- You are an independent contractor, solely responsible for your tools, equipment, taxes, insurance, and legal compliance.
- Service Hub is a marketplace that connects you with customers seeking services. We do not guarantee any minimum number of jobs, income, or bookings.
2. Provider Eligibility and Responsibilities
To participate on the Platform, you agree to:
- Provide accurate information during registration (ID, background, skills, certifications, etc.)
- Maintain your own business license, insurance, and legal permits as required in your province or region.
- Offer services in a safe, legal, and professional manner.
- Respond to bookings and communicate clearly with customers.
- Arrive on time, perform high-quality work, and respect customer property and privacy.
- Not subcontract or transfer booked work without prior written consent.
- Comply with local health and safety laws and COVID-19 precautions (where applicable).
3. Commission and Payouts
- You will receive payment for your completed services less a 10% commission charged by Service Hub.
- Payouts will be issued via Stripe (or another payment processor) within 48 hours after service completion.
- You are responsible for any banking fees, taxes, or Stripe account issues on your end.
4. Last-Minute Cancellations
If you cancel a confirmed job within 48 hours of the scheduled time:
- You may be subject to a $50 cancellation fee, deducted from future payouts.
- Your provider rating may be affected.
- Customers may be given a $50 app credit and a full refund.
- Multiple cancellations may result in account suspension or termination.
5. Disputes and Complaints
- Customers can dispute a service within 48 hours of completion.
- Service Hub will review the complaint, and we reserve the right to withhold or reverse payments in cases of clear misconduct, no-shows, or fraud.
- Providers may submit their side of the case. However, Service Hub's final resolution is binding.
6. Taxes and Insurance
- You are solely responsible for reporting and paying applicable taxes (federal, provincial, HST/GST).
- You must carry appropriate liability insurance and workers' compensation (if hiring subcontractors).
- Service Hub does not withhold or remit taxes on your behalf.
7. Non-Solicitation and Fair Use
You agree not to:
- Solicit customers outside the Platform or encourage them to bypass Service Hub for future work.
- Share your personal phone number or business cards unless explicitly permitted.
- Engage in misleading or dishonest behavior to gain business or reviews.
Violation of this section may result in permanent removal from the platform and legal action.
8. Platform Access and Termination
- Service Hub reserves the right to suspend or terminate your access at any time for violations, low ratings, fraud, or inactivity.
- You may deactivate your account at any time via the app or by written notice.
- Upon termination, you will receive any pending payouts (minus penalties, if applicable).
9. Liability and Indemnity
- You agree to indemnify and hold harmless Service Hub against any claims, damages, injuries, or lawsuits arising out of your services.
- You understand that Service Hub is not responsible for damages, theft, loss, or injury caused during a job.
